Kathy Teague

Associate

Kathy is a legal and business professional with over 30 years of experience at law firms and private equity-owned and publicly-traded companies, primarily in the areas of corporate governance, securities and business transactions.

Over the past 16 years, Kathy has held roles of increasing responsibility at large healthcare companies, most recently as Vice President and Corporate Secretary, where her major areas of responsibilities included corporate governance management for nearly 400 entities (including multiple joint ventures), and oversight of the organization’s contract management, licensure and certification, real estate and equity management functions.

Prior to her corporate roles, Kathy was a paralegal in the Corporate and Securities Group of a large Nashville law firm.  There, she was responsible for preparing and filing federal and state securities documents and served as the Securities Group’s “co-expert” on Section 16 filings and SEC Freedom of Information Act requests.  In addition to general corporate governance work, such as formation of legal entities, board minutes and other entity management-related responsibilities, Kathy regularly provided corporate transactional support, including the review and organization, both paper and electronic, of due diligence materials, preparation of schedules and ancillary closing documents, documents relating to credit facilities, coordination of closing logistics and the preparation of closing transcripts.

Kathy graduated with a Bachelor of Arts, magna cum laude, from Stephen F. Austin State University in Nacogdoches, Texas, with a double major in History and Criminal Justice.  She also holds a Master of Business Administration and a Master of Science, Management and Leadership from Western Governors University.  She very much enjoys giving back to her community and has served in a variety of roles with both professional and non-profit organizations and internal firm/company philanthropical initiatives.  She is an organizing member of the Sarah Polk Chapter, National Society Daughters of the American Revolution.

In her free time, Kathy enjoys crafting of all kinds, genealogy and family history research, reading, and trying to teach her dog, Henry, to behave.
