Ryan Franklin

Ryan Franklin is a seasoned business attorney with both big law firm and in-house experience.  As an associate in the corporate practice group of Waller (now Holland & Knight), a large law firm with 200+ attorneys, Ryan represented publicly traded and privately-held companies in a wide variety of corporate transactional matters, including mergers and acquisitions, dispositions, joint-ventures, capital raises and securities offerings, as well as general corporate matters, SEC reporting compliance, and corporate governance best practices.

Ryan moved in-house after being recruited by a client and served as the Associate General Counsel of Episode Solutions, LLC, a national healthcare company focused on aiding providers’ transition to value-based healthcare models including participation in CMS’s BPCI-Advanced program, where he drafted and reviewed various operational and financing documents, provided day-to-day legal, operational, and compliance guidance to a multi-faceted team, established compliance programs, and provided general corporate governance advice.  While in-house, Ryan gained invaluable practical business experience and an acute understanding of what general counsel desires from its outside legal providers.

Ryan earned his Bachelor of Science, Business Administration, magna cum laude, from the University of Tennessee in Knoxville where he majored in Finance and minored in Economics.  Continuing his studies in Knoxville at the University of Tennessee College of Law, Ryan intentionally designed his law school experience to prepare for a successful career as a transactional attorney by focusing his coursework in business law and receiving his law degree, magna cum laude, with a Concentration in Business Transactions.

In law school, Ryan was inducted into the Order of the Coif honor society and served as the Editor-in-Chief of Transactions: The Tennessee Journal of Business Law, was an editorial board member of the Tennessee Law Review, and was member of the Transactional LawMeets® team that placed first in Negotiation at the Southeast Regional Competition and won Best Draft at the National Competition at Sullivan Cromwell’s offices in New York City. Ryan was also a student attorney on behalf of the College of Law’s Business Law Clinic where he counseled small start-up businesses on choosing a legal entity and general formation issues and aided clients with other aspects of creating successful businesses.

Following his entrepreneurial spirit, Ryan joined Tailwinds to reunite with Trevor Sava, his former mentor at Waller and Episode Solutions, and leverage his experiences as a big law transactional attorney and as in-house counsel to help middle market companies access quality, practical, and reasonably-priced transactional and outside general counsel legal advice.
